Approach to the Proposal

The following proposed form for an Accel-Team alliance partner agreement is suggested

• In the first instance a non-legally binding agreement based on good faith

Suggested Terms

The following outlines the key terms of a proposed alliance.

• All Accel-Team products must bear the name and copyright notice and terms of Accel-Team
• A partner can have the right to market any Accel-Team developed product, but must pay Accel-Team royalties
• A partner can have the right to market and deliver any jointly developed product, but must pay Accel-Team royalties
• Accel-Team has access to information in respect of a partners deployment of Accel-Team products with regard to customer names and number of course attendees
• A partner will pay a commission to Accel-Team for contracts delivered by Accel-Team to the partner
